• Approval & Feedback: You will provide prompt feedback, approvals, and decisions necessary for DigiFuze to perform its services.
6. Payment Terms
Payment terms for services provided by DigiFuze are as follows:
• Invoices: Invoices will be issued according to the agreed schedule or upon completion of milestones.
• Payment Due: Payments are due within 30 days of the invoice date unless otherwise specified in the service agreement.
• Late Payments: Late payments may incur interest charges at a rate of 1.5% per month on the outstanding balance or the maximum rate allowed by law, whichever is lower.
• Termination for Non-Payment: DigiFuze reserves the right to suspend or terminate services if payment is not received within the specified time.
7. Confidentiality
Both parties agree to keep all information exchanged during the course of the service relationship confidential. This includes, but is not limited to, business strategies, marketing plans, customer data, and proprietary information.
• Exceptions: Confidentiality does not apply to information that is publicly available, already in the possession of the receiving party, or required to be disclosed by law.
8. Limitation of Liability
To the fullest extent permitted by law, DigiFuze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or other intangible losses resulting from:
• Your use or inability to use our services;
• Any unauthorized access to or use of our servers and/or any personal information stored therein;
• Any interruption or cessation of transmission to or from our services.
9. Indemnification
You agree to indemnify, defend, and hold harmless DigiFuze, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of or in any way connected with your use of our services or breach of these Terms & Conditions.
10. Termination
DigiFuze reserves the right to terminate or suspend your access to the website or services at any time, without notice, for conduct that DigiFuze believes violates these Terms & Conditions or is harmful to other users or the interests of DigiFuze.
• Client Termination: You may terminate your service agreement with DigiFuze at any time, subject to the terms and conditions of the specific service agreement.
• Effect of Termination: Upon termination, all rights and licenses granted to you will cease immediately, and you must promptly pay any outstanding fees.
11. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of United States. Any disputes arising from these terms or your use of the services shall be resolved in the courts of United States.
